These Terms of Service ("Terms") govern your access to and use of the website, services, programs, and digital products offered by Digifly Marketing ("Digifly Marketing," "we," "us," or "our"), including the Local SEO Mentorship Program (the "Program"). By accessing our website or enrolling in any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

01 Acceptance of Terms

By accessing the Digifly Marketing website, submitting an application, or enrolling in any program or service offered by us, you confirm that you are at least 18 years of age and have the legal authority to enter into a binding agreement. These Terms constitute a legally binding agreement between you and Digifly Marketing.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after such changes constitutes acceptance of the revised Terms.

02 Description of Services

Digifly Marketing provides educational content, mentorship, coaching, frameworks, and digital tools related to local search engine optimization, online marketing, and business development. Our flagship offering is the Local SEO Mentorship Program, an educational training program designed to teach business owners strategies for organic customer acquisition.

Our services may include, without limitation:

  • Live and recorded training sessions
  • Written and video curriculum materials
  • Group coaching calls and community access
  • One-on-one mentorship where applicable
  • Templates, checklists, and supplemental tools

03 Application and Enrollment

Admission to our programs is selective. Submission of an application does not guarantee acceptance. We reserve the right, at our sole discretion, to accept or decline any application without explanation.

By enrolling in any program, you agree to make any required payments in accordance with the payment terms presented to you at the time of enrollment. All enrollment agreements are entered into voluntarily.

04 Payments and Financing

Program fees, payment schedules, and financing options will be presented to accepted applicants prior to enrollment. By making payment, you authorize us (or our designated payment processor or financing partner) to charge the agreed-upon amounts to your selected payment method.

If you elect to use a third-party financing partner, your financing agreement is between you and that financing provider. Digifly Marketing is not a lender and is not a party to any loan or financing agreement you enter into with a third party. You are solely responsible for complying with the terms of any financing agreement.

All program fees are non-refundable except as expressly stated in your enrollment agreement or as required by applicable law.

05 No Guarantee of Results

Important: Digifly Marketing makes no guarantees, representations, or warranties regarding any specific business, financial, ranking, or marketing results from participation in our programs.

The success of any participant depends on numerous factors outside our control, including but not limited to the participant's effort, business model, market conditions, competition, time invested, prior experience, and execution of the strategies taught. Examples, case studies, or testimonials presented on our website or in our materials reflect the experiences of specific individuals and are not promises or guarantees of similar outcomes for any other person.

You acknowledge that all business activities involve risk, and you assume full responsibility for any actions you take and any results — or lack thereof — that you experience.

06 Intellectual Property

All content, materials, frameworks, methodologies, videos, documents, templates, branding, and other intellectual property made available through our website or programs are the exclusive property of Digifly Marketing or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Upon enrollment, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the materials solely for your personal and internal business use. You may not:

  • Copy, reproduce, distribute, or publish any materials without our prior written consent
  • Resell, sublicense, or otherwise commercially exploit any program content
  • Share login credentials or program access with any other person
  • Use our materials to create competing educational products or services

Any unauthorized use may result in immediate termination of your access without refund and may subject you to legal action.

07 Confidentiality

Information shared within our programs — including coaching calls, community discussions, and proprietary frameworks — is confidential. You agree not to disclose, record, or share any such information with any third party without our prior written consent.

08 User Conduct

You agree to use our website, services, and programs lawfully and respectfully. You agree not to:

  • Engage in harassment, abuse, or harmful behavior toward staff, mentors, or other participants
  • Misrepresent yourself or provide false information during application or enrollment
  • Use the services for any unlawful, fraudulent, or deceptive purpose
  • Attempt to gain unauthorized access to our systems, accounts, or content
  • Interfere with the operation of our website or programs

We reserve the right to suspend or terminate access to any participant who violates these standards, without refund.

09 Disclaimer of Warranties

Our website, services, and programs are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, Digifly Marketing disclaims all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of information.

We do not warrant that the website or services will be uninterrupted, error-free, or free of harmful components.

10 Limitation of Liability

To the fullest extent permitted by law, Digifly Marketing, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of our website, services, or programs — including lost profits, lost data, business interruption, or any business losses — even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount you actually paid to Digifly Marketing in the twelve (12) months preceding the event giving rise to the claim.

11 Indemnification

You agree to indemnify, defend, and hold harmless Digifly Marketing and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit or share through our services.

12 Termination

We may suspend or terminate your access to any service or program at any time, with or without cause, and with or without notice. Upon termination, your right to access the services ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

13 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Digifly Marketing is headquartered, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration, except where prohibited by law. You waive any right to participate in a class action against Digifly Marketing.

15 Severability and Entire Agreement

These Terms, together with any enrollment agreement and our Privacy Policy, constitute the entire agreement between you and Digifly Marketing regarding your use of our services and supersede all prior agreements or understandings.
